പ്രോമിസറി നോട്ട് (promissory note) മലയാളത്തിൽ ‘വാഗ്ദാന പത്രം’ എന്ന് വിളിക്കാം. പ്രോമിസറി നോട്ട് എന്നാൽ ബാങ്ക് നോട്ടോ കറൻസി നോട്ടോ അല്ലാത്ത ലിഖിത രൂപത്തിൽ ഉള്ളഒരു പ്രമാണം/രേഖ ആണ്. ഇതിൽ ഒരാൾ മറ്റൊരാൾക്ക് ഒരു നിശ്ചിത തുക നൽകാമെന്ന വ്യവസ്ഥ എഴുതി ഒപ്പിട്ടു കൈമാറുന്നു. പ്രോമിസറി നോട്ട് കൈമാറ്റം ചെയ്യപ്പെടാവുന്നതോ കൈമാറ്റം വിലക്കിയതോ ആവാം. കൈമാറ്റം ചെയ്യപ്പെടാവുന്നതു മറ്റൊരാളിലേക്ക് കൈമാറാം. ഒരു പ്രോമിസറി നോട്ടിൽ തുക നൽകാമെന്ന വാഗ്ദാനം ഉണ്ടായിരിക്കണം. മറ്റു വ്യവസ്ഥകൾ ഒന്നും പാടില്ല. രണ്ടു കക്ഷികൾ ഇതിൽ ഉണ്ടാകും. നിയമപ്രകാരമുള്ള നിശ്ചിത തുകയുടെ സ്റ്റാമ്പ് പതിച്ചിരിക്കണം.

A signs instruments in the following terms:—(a) “I promise to pay B or order Rs. 500.”
(b) ‘‘I acknowledge myself to be indebted to B in Rs. 1,000, to be paid on demand, for value received.”
(c) “Mr. B. I.O.U. Rs. 1,000.”
(d) “I promise to pay B Rs. 500 and all other sums which shall be due to him.”
(e) “I promise to pay B Rs. 500 first deducting there out any money which he may owe me.”
(f) “I promise to pay B Rs. 500 seven days after my marriage with C.”
(g) “I promise to pay B Rs. 500 on D’s death, provided D leaves me enough to pay that sum.”
(h) “I promise to pay B Rs. 500 and to deliver to him my black horse on 1st January next.”
പ്രോമിസറി നോട്ടിന്റെ മറ്റു ചില പ്രത്യേകതകള് താഴെ കൊടുക്കുന്നു:
- Promissory note is defined in The Negotiable Instruments Act, 18812.
- ഒരു പ്രോമിസറി നോട്ട്, The Negotiable Instruments Act , Indian Stamp Act പ്രകാരം എഴുതപ്പെട്ടതും ശരിയായി ഒപ്പുവയ്ക്കപ്പെട്ടതും മതിയായ സ്റ്റാമ്പ് പതിച്ചതുമായിരിക്കണം.
- ഒരു പ്രോമിസറി നോട്ട്,പണം നല്കാമെന്നുള്ള ഒരു വാഗ്ദ്ധാനമോ ഉറപ്പോ ഉള്ക്കൊള്ളുന്നതായിരിക്കണം. ബാദ്ധ്യതയുടെ വെറും രസീത് (Acknowledgement) മാത്രം മതിയാവുകയില്ല. ഉദാഹരണത്തിന്, ഒരാള്, “ഞാന് സുരേഷിന് 2000 രൂപ കടപ്പെട്ടിരിക്കുന്നു” എന്ന് എഴുതി ഒപ്പിട്ടു കൊടുത്താൽ അത് പ്രോമിസറി നോട്ട് ആവുകയില്ല.
- ഒരു പ്രോമിസറി നോട്ടിൽ, പണം നല്കാമെന്നുള്ള വ്യവസ്ഥ മാത്രമേ ഉള്ക്കൊള്ളിക്കാവൂ. ഉദാഹരണത്തിന്, “ഞാന് സുരേഷിന് ഒരു കമ്പ്യൂട്ടർ നല്കാമെന്ന് ഉറപ്പു നല്കുന്നു” എന്ന് എഴുതി നല്കിയാല് അത് പ്രോമിസറി നോട്ട് ആവില്ല.
